Q. With reference to section 3.2.2 of the bid form, we would like to clarify if the tenderer's name used in the registration form (item 1) must specifically be the legal name/structure of the ultimate PPA party, or can the name of the parent company of such legal party be used (assuming the structure of the ultimate PPA party has yet to be defined)? If the tenderer expects to submit more than one bid whereby the ultimate PPA party of each bid would be different, is it required to submit multiple registrations?

A. The bidder is not required to formally establish its partnership prior to the submission of bids. However, the Bidder will be required to attach, in Section 4 of the Bid Form, the agreed upon participation agreement and a resolution from each of the constituents attesting to their partnership in the construction and operation of the submitted project and their commitment to form an entity consistent with the commitments of the bid if the bid is successful. The proposed partnership may use the user ID of one of the registered bidding parties.
The bidder is invited to inform the Distributor, in writing, of any change in the name of the above-mentioned legal person, partnership, cooperative, corporation or joint venture, prior to the submission of bids. The name of a bidder entered on a Bid Form that is different from the name entered on the Registration Form will render the bid submitted inadmissible.
Unless being the bidder, the local partner does not have to be listed on the registration form, but each local constituent involved in the bid must be a signatory to the bid.
A registered bidder can submit many bids, as indicated in article 1.3.1 of the tender document, and with different partners, if applicable.

R. Le soumissionnaire n'est pas tenu de constituer formellement son partenariat avant le dépôt des soumissions. Il devra toutefois joindre, à la section 4 de la Formule de soumission, l'entente de participation intervenue ainsi qu'une résolution de chacun des constituants attestant de son partenariat pour la construction et l'exploitation du projet soumis et de son engagement à constituer une entité conforme aux engagements de la soumission si celle-ci est retenue. Le partenariat envisagé peut utiliser le code d'utilisateur de l'un des intéressés à soumissionner déjà inscrit.
L'intéressé à soumissionner est invité à informer le Distributeur, par écrit, de toute modification apportée au nom de la personne morale, société, coopérative, corporation ou coentreprise ci-dessus mentionnée, avant le dépôt des soumissions. Le nom d'un soumissionnaire inscrit sur une Formule de soumission qui est différent du nom inscrit sur le Formulaire d'inscription rendra inadmissible la soumission déposée.
Sauf s'il est le soumissionnaire, le partenaire issu du milieu local n'a pas à être inscrit mais chaque constituant provenant du milieu local participant à la soumission doit être signataire de la soumission.
Un soumissionnaire inscrit peut soumettre plusieurs soumissions, comme indiqué à l'article 1.3.1 du document d'appel d'offres, et avec différents partenaires, le cas échéant.
